BLUE TABLE PROGRAMME GUIDELINES
Bupa Investments Limited (Bupa) and investment fund and innovation specialist, L Marks Ltd, (L Marks) have come together to create Bupa Blue Table, an accelerator programme designed to fast track the growth of startup companies developing innovations that could be implemented by Bupa.
Successful Participants will be invited by the Blue Table Panel to participate in a ten-week business accelerator programme, (Blue Table Accelerator Programme) where they will be challenged to develop products, services and/or concepts (Proprietary Materials) that could shape Bupa’s customer experience of the future and lead to an opportunity to obtain capital investment from L Marks and a commercial relationship with Bupa.
Bupa Blue Table is looking for a strong team and adaptable Proprietary Materials which could easily be integrated into Bupa’s business and help give them a competitive advantage.
Defined terms will have the meaning given to them in these Guidelines.

3. ELIGIBILITY FOR BLUE TABLE PROGRAMME
3.1 The Blue Table Programme is open to individuals, or teams of individuals who have not yet formed a legal business entity; or any other incorporated company, not-for-profit corporation or organization, sole trader or partnership, (Participants) provided that you are:
a) 18 or over
b) not the Organizers, Blue Table Committee, Blue Table Panel or Blue Table Mentor
c) not personnel, (including agents or contractors), subcontractors or business advisers of the persons in paragraph 1(b)
d) not competitors of the persons in paragraph 1(b)
e) not involved with the design, production, promotion, execution, or distribution of the Blue Table Programme
f) not immediate family or household members of the persons in paragraphs 1(b) to 3.1(e),
which will be determined by the Organizers in their sole discretion and whose decision is final.
4. APPLICATION GUIDELINES
4.1 Participants must own or have access to a computer, internet connection and other electronic devices, documentation, software or other items the Organizers deem necessary to create and enter their application to the Blue Table Programme.
4.2 Each Participant must use a team lead to represent and act on its behalf, including registering and entering an application for the Blue Table Programme. The team lead must also have read these Guidelines, any agreements and be authorized to make all decisions (required during the Blue Table Programme) on behalf of the Participant.
4.3 An individual may join more than one team or organization, and an individual who is part of a team or organization may also enter the Blue Table Programme on an individual basis, provided they meet the eligibility requirements.
4.4 All costs incurred by the applicant in preparing and submitting the application are to be borne by the applicant and, unless agreed otherwise in advance, the Organizers will not reimburse any applicant for any costs incurred.
4.6 Applications are in English and must be completed in English. Applications may be rejected if they are completed in any language other than English; or contain information that is not in accordance with the on-screen instructions.
4.7 An applicant may enter more than one application for the Blue Table Programme. Each application must, however, be substantially different and the Organizers will determine in their sole discretion whether there is any similarity in the applications. If similar applications are received, the Organizers may ask the applicant to choose which of them to submit.
4.8 An application may be rejected in the Organizers’ sole discretion if it is deemed to be obscene, defamatory, likely to incite violence or illegal activity, in violation of any third party rights, or otherwise deemed to be inappropriate.
4.9 The Organizers reserve the right to cancel, suspend and/or modify the Blue Table Programme, or any part of it, if any fraud, technical failure or any other unanticipated factor or factor beyond the Organizers’ control impairs the integrity or proper functioning of it, as determined by the Organizers in their sole discretion.
4.10 The Organizers reserve the right at their sole discretion to disqualify any person found to be tampering with the Blue Table Programme, specifically including, but not limited to, the entry or voting process (for example by using the aid of computer software programs to auto-fill entries), or the operation of the Blue Table Programme, or: for acting in violation of these Guidelines or any applicable law or regulation; in a manner that is inappropriate, unsportsmanlike and not in the best interests of the Blue Table Programme.
5. BLUE TABLE PROGRAMME APPLICATION PERIOD
5.1 Applications for the Blue Table Programme must be submitted between Monday 15 May 2017 and Thursday 15 June 2017 (the Application Period).
5.2 Applications submitted outside the Application Period will be automatically rejected for participation in the Blue Table Programme.
5.3 The Organizers are not responsible for incomplete, late, misdirected, damaged, lost, illegible or incomprehensible applications, or for the Participants’ address or email address changes. Proof of sending or submitting will not be deemed to be proof of receipt of application by the Organizers.
6. BLUE PROGRAMME APPLICATION THEME AND APPLICATION RATING
6.1 Applications must fall within one of the following categories:
a) Next Generation Insurance
b) Your Health Experience
c) Healthy behaviours
6.2 The Blue Table Panel will focus on four areas of the application:
a) The idea: Information about the Proprietary Materials such as: what it is, how it works, why it is significant, market opportunity, go-to-market/sales strategy and competition
b) The founder(s): Information about the individual(s) who conceived the idea for the Proprietary Materials; their motivations, background and interests
c) The team: Information about non-founding members of the team (if applicable); who they are, their roles and responsibilities, and
d) The business: Historical and financial information about the business.
6.3 Participants are encouraged to provide a visual demo. link to the Proprietary Materials lasting no more than 60 seconds.
6.4 The Blue Table Panel will rate the quality of all applications to the Blue Table Programme using the following four equally weighted criteria:
a) Potential Impact on Bupa
b) Quality of the Participants’ team
c) Speed of integration of the Proprietary Materials with Bupa’s business
d) Competitive advantage.
7. PITCH DAY
7.1 The Blue Table Committee may select up to 25 applicants (Participants), to participate in a Pitch Day which will take place in London. The Blue Table Committee reserve the right to select more or less applicants depending on the quantity and quality of applications received.
7.2 Participants who are invited to the Pitch Day will be given the opportunity to pitch their Proprietary Materials to the Blue Table Panel. Pitches are expected to take place in two sessions: a morning and afternoon session. In the morning session Participants will be given the opportunity to pitch and demo. their Proprietary Materials. Some Participants will be eliminated after the morning session. The remaining Participants will be invited back for a Q&A during the afternoon session.
7.3 The Organizers will seek to make arrangements for international Participants to attend remotely, for example by using Skype or Google Hangouts. International Participants who decide to attend the Pitch Day in London may be subject to UK visa requirements or restrictions which they will be responsible for resolving and for any associated costs.
8. BLUE TABLE ACCELERATOR
8.1 Participants who most impress the Organizers will be invited to participate in the Blue Table Accelerator. It is anticipated that five Participants will be selected but this may vary depending on the applications received.
8.2 Any additional requirements for entering into the Blue Table Accelerator will be agreed between the Organizers and Participants. Participants will not be obligated to participate in the Blue Table Accelerator and the Organizers will not be obliged to admit Participants to the Blue Table Accelerator until the additional requirements have been resolved.
8.3 Capital investment: Successful Participants who decide to participate in the Blue Table Accelerator (Accelerator Participants) will be required to enter into further documentation. This may include a requirement to set up a limited company to own the intellectual property rights in the Proprietary Materials. Successful Participants may also be offered the opportunity to receive from L Marks capital investment in their business in exchange for a legal interest in the business as set out in paragraph 4. It is intended that such capital investment will be by way of a separate share option agreement (a draft is available on request to: email@example.com).
8.4 Capital investment will be made in exchange for L Marks acquiring a percentage of the Accelerator Participant’s business, based on a valuation to be agreed between all parties prior to entering the Blue Table Accelerator. Any capital investment will be subject to negotiation between the parties acting reasonably and in good faith.
8.5 In order to maximize benefit from expertise and tools made available by Bupa, Accelerator Participants are strongly advised to relocate their business to Bupa’s offices in London for the duration of the Blue Table Accelerator.
8.6 Participation in hosted events, speeches and workshops during the Blue Table accelerator is mandatory for all Accelerator Participants.
8.7 The Blue Table Accelerator will run for ten weeks from Monday 4 September 2017 and will be split into ‘themed’ sprints. Information about the sprints will be communicated to Accelerator Participants prior to the commencement of the Blue Table Accelerator. During the Blue Table Accelerator, Accelerator Participants will be recorded and videos will be posted to the Blue Table website to allow Bupa and the public to track the Blue Table Programme’s progress.
8.8 Day: At the end of the Blue Table Accelerator, the Accelerator Participants will demo. their Proprietary Materials to the Blue Table Panel. The Blue Table Panel will deliberate and must come to a unanimous decision on Accelerator Participants that will be selected as finalists.
8.9 Towards the end of the Blue Table Programme, the Accelerator Participants will be entered into a Partners’ Favourite Award competition in which the Organizers’ employees will have the opportunity to choose their favourite Proprietary Materials. The winner of the Partners’ Favourite Award will receive a prize.
8.10 Showcase event: an event may be held at the end of the Blue Table Programme whereby Accelerator Participants will pitch their Proprietary Materials to an audience of potential investors and influencers invited by the Organizers. Accelerator Participants will also have the opportunity to network with investors.
8.11 All Accelerator Participants will be subject to further due diligence with regard to verification of identity, qualifications, role in the creation of the Proprietary Materials and the Accelerator Participants’ business. At the sole discretion of the Organizers, Participants will be deemed ineligible if:
a) they refuse to participate in the Pitch Day
b) the documentation referred to in paragraphs 3 and 8.4 of these Guidelines has not been agreed and executed by Monday 28 August 2017
c) Participants are uncontactable for a period of more than seven days; or
d) any member of their team is disqualified for any other reason.
8.12 In the event of disqualification, the Organizers may at their sole discretion select an alternative Participant or award the Partners’ Favourite Award to alternative Accelerator Participants.
8.13 The decision of the Organizers is final and binding in all matters related to the Blue Table Programme.
9. POST-BLUE TABLE PROGRAMME OFF-BOARDING
9.1 The Blue Table Programme will be followed by two weeks’ remote off-boarding to help us determine next steps.
